TERMS & CONDITIONS

Smart Order Digital Roadshow 8.0

 

The following are the Terms and Conditions for this Smart Order Digital Roadshow 8.0 

  • SBD and DEALER have a commercial relationship whereby SBD has sold and DEALER has purchased and distributed certain Stanley brand products in certain regions of India.
  • The below described sales incentive being offered by SBD (“Sales Incentive”) is applicable to DEALER, as SBD’s primary Dealer selling Stanley, Black + Decker and Dewalt range of Hand Tools (“Products”) in the Hardware Channel in India.
  • SBD is offering this Sales Incentive to the Dealer in order to incentivize the Dealer to promote and drive the sales of the Products by focusing on the Stanley, Black + Decker and Dewalt brands In India.
  • Only Dealers who register online and attend the virtual training program are eligible for this scheme during the Period and may participate in the Sales Incentive.
  •  Only employees over the age of 18 years and who are employed by the Dealer during the Period shall be eligible to participate in the Sales Incentive. 
  • Only Dealers who meet the criteria of Scheme Description as announced during the training session are eligible for the rewards.
  • Period:  The Sales Incentive calculation will done after the completion of the roadshow on/after 31st of March 2023 at 11:55pm (India local time). 
  • One (1) Reward per Dealer winner shall be awarded to eligible dealers.
  • The Rewards to be awarded to eligible winners will be selected at SBD’s sole discretion and eligibility by any Dealer shall be communicated by SBD via e-mail, within 10 business days of the Scheme’s completion.
  • In case a Dealer is not able to claim the Reward within 30 calendar days of email by SBD communicating the winner, for any reason whatever, SBD shall have the option of deeming the unclaimed Reward forfeited and shall not be obligated to refund or compensate Dealer in cash or in kind for the forfeited Reward of the Sales Incentive. 
  • No carry forward or other compensation for the Sales Incentive will be awarded for a Dealer otherwise entitled to a Reward, in the event they are unable to claim the Rewards.
  • SBD reserves all the rights to change or modify the Sales Incentive or Reward, including cancelling the Sales Incentive at any time at its sole discretion, and shall provide the reasons for the cancellation and fifteen (15) business days’ written notice.
  • SBD shall have sole discretion to determine if a Dealer has complied with these Terms and Conditions, and whether they are eligible for the Reward. 
  • On execution of these Terms and Conditions for the Sales Incentive, the Dealer agrees that SBD is not violating the Dealer’s own internal policies.
  • Participation in the Sales Incentive or Rewards are not transferrable to a third-party.
  • Dealer shall ensure that the Rewards, if applicable, are not extended/offered to a person who is a Government Official or affiliated with any Government Official. A Government Official, as used herein, means any officer or employee of a government (including employees of national oil companies) or of a Public International Organization, or any person acting in an official capacity for or on behalf of any Government or Public International Organization, or any non-US political party or official thereof, or any candidate for a non-US political office.  SBD reserves the right, at its sole discretion, to not award the Reward to any Dealer that would be in violation of this Clause. 
  • Any false or misleading representation or submission made by Dealer or the Dealer with respect to the Sales Incentive may lead to SBD to annulling the Sales Incentive and/or the Rewards to be awarded to any Dealer, at SBD’s sole discretion. 
  • Indemnification: Dealer represents and agrees, on behalf of itself, its successors and assigns, Dealer  and employees, directors, officers and agents, to assume all risks and responsibilities surrounding  participation in this Sales Incentive. To the fullest extent permitted by law, Dealer hereby acknowledges and agrees that it will not assert any claim against SBD, its parent, subsidiaries or affiliates by reasons of any injury, death and/or other losses and/or damages arising out of their participation in the Sales Incentive, and that they will indemnify and hold SBD, and its parent, subsidiaries, affiliates, and their directors, officers, employees, shareholders and representatives harmless from any and all actions, suits, claims, liabilities (direct or indirect) damages, costs and expenses (including without limitation attorneys’ fees) arising from any acts or omissions by Dealer in connection with the Sales Incentive. 
  • Governing Law: These Terms and Conditions will be governed and construed in accordance with the laws of India, without regard to conflict of laws principles.
  • By participating in this Sales Incentive, you agree to these terms, which form a binding legal contract between Stanley Black & Decker India Private Limited and the registered participant (“Dealer”)
  • Privacy:  SBD may process, store and use Personal Information collected from Dealer and/or Dealer’s employees in connection to Dealer’s participation in this Sales Incentive.  By agreeing to participate in this Sales Incentive and these Terms and Conditions,  Dealer and its employees consent to the use by SBD of their Personal Information for business purposes related to this Sales Incentive.  SBD may disclose or share Dealer or Dealer’s employees’ Personal Information with third-party service providers in the course of business and for the purpose of customer support, delivery, security, financial and legal advisory, banking, payment processing, credit reporting, fraud checks, data storage, information processing, order tracking, marketing and technology services in relation to this Sales Incentive  or with law enforcement agency for compliance purposes or to assist with investigations, as required.  Matters pertaining to the use by SBD of Personal Information as described above will be subject to SBD’s Privacy Policy at https://www.stanleyblackanddecker.com/privacy-policy/global-privacy-policy .
